• Former Employee Restriction
 
– Previous RadioShack employees or companies that employ previous RadioShack employees are prohibited from participating on www.RadioShackExcess.com
• Global Restriction
 
– Resale of this inventory is restricted to the U.S. All RadioShackExcess.com buyers will be screened against the U.S. government consolidated Denied Parties List.
• Brand Restriction
 
– Buyers are expressly prohibited from using the RadioShack name, logo, or any other representation of RadioShack Corporation in their resale listings of any kind.
• First Time Buyer
 
– Buyer awarded stock for the first time must submit a Seller Permit and complete a Resale Certificate
• Payment Terms
 
– Payment must be received in advance of shipment
– Payment must be received & processed prior to shipping within 24 hours from the date of invoice otherwise the bidder will be removed from the site
• Payment Method
 
– Payment should be made by:
• Bank Transfer to FreeFlow
• Credit Card – note that there is a 3% handling fee when paying by this method. Credit cards that can be accepted are Visa and MasterCard only. Please also note that the maximum amount that can be charged from credit cards is $5,000.
• PayPal – note that there is a 3.9% handling fee when paying by this method. Please also note that the maximum amount that can be charged from PayPal is $5,000.
• Warranty
 
- Sold as is with no warranty, no refunds for any stock that is missing, damaged or destroyed
• Condition
 
- NO CREDITS. NO RETURNS. DEFECTIVE RATE NOT GUARANTEED UNLESS OTHERWISE STATED
– All the stock is sold "As Is" without any warranty.
– There will be no refunds for any stock that is missing, damaged or destroyed, as there may be a 2% quantity variance within a BL.
– Credit issues will only be revised if they exceed 2% of the entire Lot.
– For any shortages or credit requests, images of the pallet before it is open will be requested - Please ensure to take images of all orders once received.
– In the case of major issues with stock received, RadioShack will only review if it is reported no longer than 6 weeks after the stock has shipped and partial shipments back for refunds won’t be accepted.
• Collection Requirements
 
Freight terms FOB Fort Worth, TX. The supplier cannot ship outside the US.

Buyer pays all freight charges.
Bidder is responsible for arranging pick up and paying for freight.

Inventory will be available for pick up within 1/2 working days after payment is received.

Please note below pick up requirements:
  1. RadioShack requested the stock  to be collected within 48 hours of notification by FreeFlow of shipment collection details. 
  2. At the time of pick up every carrier driver must have the paperwork – BOL(S) confirming the below information otherwise the stock will not be released:
    1. BL(S) to pick up
    2. Pick up reference number (PO#) . Note the pickup will not be possible with just a PO number.
    3. Company delivering for

Address of target destination - Please note that the delivery address on the FreeFlow invoice must match the address supplied to RadioShack on the BOL for order collection.  Discrepancies in address detail will result in the order not being released to the carrier for collection.  Also if the vendors do not notify FreeFlow of the address change before the payment has been submitted the order will not be released.
  3. Please make sure the pickup is organized for full shipments. If there are multiply pallets included in the BL, all of them have to be collected together. RadioShack is held liable if the shipment is to be split and there is a reason as to why RadioShack informs liquidators of pallet counts and weights and there will be NO exceptions made. With this being said it is very  imperative that the liquidators also understand the urgency of picking the shipments up in a timely manner.  Please make sure the  pickup is done asap as this hinders RadioShack’s process.
  4. Multiply BL’s – Orders are pre-packed and consolidating few BL’s onto one pallet will not be possible.
  5. Small Shipments – All BL’s are on pallet/pallets and RadioShack will not ship boxes only. Pick up has to be arrange for the full pallet/pallets.
  6. Large Shipments – If double stacking is required buyer has to notify FreeFlow prior to organizing collection, FreeFlow will then authorize RadioShack to do so. Please note that neither FreeFlow or RadioShack are responsible for any issues with double stacked shipments.   
  7. Effective immediately pickups must be made in a vehicle that is capable of accepting full Gaylord/palletized shipments.  Vendors are not allowed to enter the premises in cars, pickups, SUVs or other personal transportation vehicles that are not able to accept full pallet transfers.  Vendors are not allowed to break down palletized Gaylord shipments into smaller packages for loading into vehicles.  Vendors must accept the prepared Gaylords/pallets as is. Also splitting one order or one BL and releasing to two different carriers will not be allowed.
IMPORTANT - Failure to adhere to these terms and agreements will result in cancellation of your membership on www.RadioShackExcess.com and removal from all FreeFlow auction platforms.

Please note there may be situations were shipping terms are unique to a specific BL.  BL-specific terms will take precedence.

Site Terms & Conditions

LEGAL AGREEMENT
A "User" shall be entitled solely to those privileges explicitly set forth in this Agreement, in consideration for acceptance of this Agreement.

TERMS
This User Agreement is effective upon receipt and acceptance of a User Application Form by FreeFlow and their client and shall continue until either the User or FreeFlow and their client terminates the Agreement. Upon written notice to the other party, either party may terminate this Agreement for any reason with a notice period of four (4) weeks prior to the end of a calendar month. The User agrees that FreeFlow and their client, in their sole discretion, shall have the right to suspend or terminate a User's access to this marketplace or any FreeFlow powered marketplace at any time for any breach of this Agreement or of any other Agreement to which FreeFlow and the User are parties, and that FreeFlow shall not be obligated to disclose the specifics of such breach to the User. Suspension or termination of the User's access to the marketplace is sufficient notice of suspension or termination of this Agreement.

Payment must be received in advance. Failure to pay will result in immediate cancellation of website access and users will be removed from all future auctions. Freight is the responsibility of the buyer. All shipment disputes or queries need to be escalated to Freeflow within 24 hours of receipt. If a member is successful in securing product on a FreeFlow powered marketplace, the stock must be sold without warranty and advertised in the condition in which it was purchased. FreeFlow may also publish a list of companies and regions where stock cannot be advertised or sold. User’s will be given a detail listing by name or country where these restrictions apply. User’s need to confirm in writing acceptance of these regions and country restrictions.

If you are the current highest bidder on an auction (lot auction and line item auction) and you place a max bid which is greater than or equal to the reserve price, your bid will automatically be accepted at the reserve price after the auction has closed. If you are the current highest bidder on an auction (lot auction and line item auction) and you place a max bid which is below the reserve price, your bid will automatically be increased up to your max after the auction has closed. The bid will remain pending until a decision is made. When a user places a max bid on a lot, the max bid will be proportionately divided by line item according to the original bids placed.

In some instances stock that is on auction may be restricted to be purchased/sold into certain regions only. This will be indicated on individual auctions where restrictions apply.

Please note Manufacturer's Warranty is not provided with any of the products purchased through any FreeFlow marketplace unless otherwise stated.

ACCESS AGREEMENT
This Agreement is not a transfer or a license of any of FreeFlow’s rights. By accessing the FreeFlow powered private marketplace , Users expressly acknowledge acceptance of the terms of this Agreement. Users agree that FreeFlow has the right to deny any individual access to a FreeFlow powered private marketplace. Unauthorized access to any FreeFlow powered website is expressly forbidden. FreeFlow and its associated platforms are protected under Copyright Laws.

Any reproduction or distribution of this Website information, by, for, or to any third party, is expressly forbidden.

CONFIDENTIAL DISCLOSURE
User understands and agrees that information disclosed on the FreeFlow powered marketplace may include trade secrets and proprietary information belonging to FreeFlow. User agrees not to copy or disclose to third parties, in whole or in part, any portion of the information and the software. User also agrees that all Usernames and Passwords supplied to the User are non-transferable and may only be used by parties registered under those Usernames and Passwords. The provisions of this Confidential Disclosure section shall survive the termination of this Agreement.

DISCLAIMER
FreeFlow assumes no liability for losses incurred in the use or application of the software or the data contained therein and shall not be liable for any direct, indirect, special, incidental, or consequential damages, whether based on contract, tort, or any other legal theory, arising out of the sale, service, furnishing performance or use of any information, data or materials sold or provided under this Agreement. The provisions of this Disclaimer section shall survive the termination of this Agreement.
